Senior Lawyer

About the role

ContourGlobal is seeking a Senior Lawyer to join its legal team in Santiago, Chile. Reporting to the Assistant General Counsel for South America, you will provide high‑quality legal advice across a broad range of matters, with a special focus on transactional work supporting the company’s renewable energy portfolio.

Key responsibilities

• Coordinate and support M&A transactions, managing due diligence, drafting and negotiating NDAs, letters of intent, memoranda of understanding, offers, share purchase agreements, shareholders’ agreements, transition services agreements, asset transfer agreements and escrow agreements.
• Draft, review, mark‑up and negotiate engineering, procurement and construction (EPC) contracts, turnkey contracts, operation and maintenance (O&M) contracts, land‑lease agreements, and equipment supply agreements with domestic and international counterparties.
• Draft, review, mark‑up and negotiate complex energy‑related contracts such as power purchase agreements (PPA) and hedging agreements.
• Support financing transactions by reviewing, commenting on and negotiating financing agreements, establishing collateral and security arrangements, and providing legal interpretation for lenders.
• Assist corporate governance of local subsidiaries, including drafting corporate resolutions, powers of attorney, public deeds, overseeing incorporations, capital increases and maintaining corporate books in compliance with Chilean law.

Required profile

• Report directly to the Assistant General Counsel South America.
• Provide high‑quality legal advice across a broad range of matters, with emphasis on transactional work.
• Experience handling corporate governance matters for subsidiaries under Chilean corporate law.

Required skills

• Drafting, reviewing and negotiating complex contracts (EPC, O&M, land‑lease, equipment supply).
• Negotiating power purchase agreements and hedging agreements.
• Conducting due diligence and preparing acquisition financing documentation.
