Senior Legal Counsel – Corporate & M&A (Chile & LATAM)

About the role

TMF Group is seeking a bilingual Senior Legal Counsel to lead corporate and M&A matters across Chile, Argentina, Uruguay and Paraguay. The role involves providing strategic legal advice, ensuring compliance with local regulations, and supporting business growth in the South LATAM region.

Key responsibilities

• Act as the primary legal counsel for Chile and provide regional support for Argentina, Uruguay and Paraguay.
• Draft, review and negotiate service agreements, supplier contracts and business partner agreements.
• Support corporate governance, statutory compliance, board and shareholder documentation, and interactions with local authorities.
• Manage day‑to‑day legal advisory needs, including regulatory obligations and internal approval flows.
• Monitor and coordinate claims, litigation, regulatory matters and employment‑related legal issues with external counsel.
• Contribute to M&A, corporate restructuring, due diligence and post‑closing activities.
• Partner with HR, company secretarial and other internal teams on labor, migration and corporate governance matters.

Required profile

• Bilingual senior lawyer with extensive experience in corporate law, contracts, corporate governance and M&A within Chile, Argentina, Uruguay and Paraguay.
• Litigation experience is a plus.
• Strong ability to provide clear, business‑oriented legal advice.
