Contract Review Attorney

About the role

Headshots.com is expanding its legal function to support enterprise growth. We are seeking a Contract Review Attorney who will report to the COO and manage the day‑to‑day review, redlining and negotiation of commercial agreements.

Key responsibilities

• Lead review and redlining of Master Services Agreements, Business Associate Agreements, Data Processing Addenda, Statements of Work, NDAs and vendor contracts.
• Identify contractual risk, draft fallback positions and negotiate directly with client legal teams.
• Translate complex legal terms into plain‑language recommendations for business stakeholders.
• Coordinate Standard Contractual Clauses, data‑transfer impact assessments and DPA terms.
• Negotiate indemnification, limitation of liability, insurance, IP ownership, audit rights, termination and assignment provisions.
• Develop and maintain contract templates, playbooks, clause library and track in‑flight negotiations.

Required profile

• Law degree (JD or LLM) from an accredited institution.
• Six or more years of commercial contracts experience, including significant in‑house work.
• Five+ years of hands‑on reviewing and negotiating agreements with U.S. and European clients.
• Working knowledge of GDPR and related data‑privacy regulations.
