Legal Outsourcing Associate

About the role

Sterlington PLLC is seeking a Legal Outsourcing Associate to support sophisticated, cross‑border outsourcing and commercial transactions for a global client base. This independent‑contractor position is fully remote and offers direct interaction with senior partners and high‑value matters.

Key responsibilities

• Advise clients on outsourcing, technology, and commercial agreements, including IT outsourcing, BPO, SaaS, cloud, and digital infrastructure contracts.
• Drive AI‑powered process automation across legal and operational functions, identifying inefficiencies and deploying scalable solutions.
• Lead drafting and negotiation of complex commercial agreements such as master services agreements, statements of work, and vendor arrangements.
• Partner with senior stakeholders on strategic structuring of outsourcing relationships, addressing cross‑border considerations.
• Navigate regulatory, data‑privacy, and operational‑risk issues in technology‑driven transactions.
• Collaborate with practice areas (Corporate, Privacy, Executive Compensation, etc.) on integrated matters.
• Manage multiple high‑stakes matters in a fast‑paced, client‑facing environment.

Required profile

• 5–7 years of experience at a top‑tier law firm (AmLaw or equivalent international firm).
• Deep interest in AI, innovation, and the future of legal services.
• Strong background in outsourcing, technology transactions, and commercial contracting.
• Demonstrated experience with complex, high‑value agreements and direct client interaction.
• LL.M. from a U.S. institution strongly preferred.
• Excellent drafting, negotiation, and analytical skills.
• Ability to operate independently in a lean, remote‑first environment.
• Experience advising on digital transformation, cloud infrastructure, or tech‑enabled business models.
